1. Who these terms apply to

Blendbyte GmbH, Friedrichstr. 155, 10117 Berlin, Germany (“we” or “us”), develops and licenses Textual. These terms govern the software licence, trial, and our support obligations. Our legal notice contains our company registration details; you can contact us or email hello@blendbyte.com.

Our online checkout is provided by Paddle, our merchant of record and authorised reseller. The Paddle entity identified at checkout is the seller for your purchase and handles payment, tax, receipts, and payment refunds under the Paddle Buyer Terms and Paddle Refund Policy. These software terms supplement those purchase terms and do not override your mandatory rights or Paddle’s obligations as seller.

Individuals and businesses can purchase licences, but we offer only the individual licence described below. A consumer is a person acting mainly outside their trade, business, or profession. Simply browsing this website does not create a paid contract.

Existing Codeux and Mac App Store purchases remain subject to the terms agreed when purchased, including their applicable refund, support, and upgrade rights. These terms do not retrospectively reduce those rights.

2. Software and licenses

You may evaluate Textual once for 30 days without payment. The trial does not automatically become a paid purchase; after it expires, you need a valid licence to continue using the app.

Each licence lets one person use the purchased major version on the Macs they own or control, including for work. You may buy multiple licences in one order, and we issue a separate key for each unit. A purchaser buying for others may allocate one key to each intended recipient, who must follow these terms. One key cannot be shared between several people, and there is no separate business or site licence.

A Textual 7 licence is a one-time purchase with no subscription or automatic renewal. It does not expire merely because a newer major version is released. It does not transfer ownership of the software or give you an exclusive right to it.

You may make necessary backup copies. Do not redistribute licence keys publicly, rent access to them, or bypass licence controls. Mandatory rights, including rights to interoperability, lawful backup, and transfer or resale where applicable, remain unaffected. You may permanently transfer a fully paid licence in its entirety if you stop using it, make your remaining copies unusable, and the recipient accepts the applicable terms. Contact us to update the licence record. Rights to permitted testing, error correction, and decompilation for interoperability remain unaffected, and third-party and open-source components retain their own licences.

3. Ordering and payment

A Textual 7 licence costs 11.99 USD per licence. Tax is included where local pricing rules require it, including the EU, and added where applicable in other locations. The total increases with the number of licences, and there is no recurring charge. Paddle shows the final payable amount and available payment methods before you confirm payment. Your bank or payment provider may apply its own currency-conversion charges.

Choose your quantity, enter your licence name and email address, and accept these terms before continuing to Paddle. You can review and correct the order before Paddle’s final payment action. Continuing from our website alone does not place a paid order; the purchase contract is formed as described in Paddle’s Buyer Terms and checkout confirmation.

Paddle may request additional billing information needed to process payment, prevent fraud, and calculate tax. Provide an email address you can access, as the licence keys and payment confirmation are delivered electronically. You do not need a Textual website account.

4. Delivery

After Paddle confirms completed payment, we generate your Textual 7 licence keys and email them to the address associated with the purchase. Delivery is normally automatic, although payment checks or a technical problem may cause a delay. If your keys do not arrive, check your spam folder and contact us with your order reference.

The licence email includes a copy of the software terms agreed with your order. Paddle supplies your payment receipt and purchase confirmation separately. Keep both for your records. The app is delivered by download, and activation requires an internet connection.

5. Compatibility, updates, and support

Textual 7 requires macOS Monterey 12 or later, subject to the specific compatibility information given before purchase. Internet access is needed for downloads, activation, and IRC connections; your network and internet provider may charge separately.

We provide the updates, including security updates, needed to keep the software in conformity with the contract for the period required by law, and inform you when they are available. For consumer purchases, this includes the period reasonably expected given the product and circumstances of the purchase. These obligations are not cut short merely because a newer major version is released.

Please install required updates within a reasonable time and keep backups of important settings and chat logs. Failure to install an update only limits your rights where the law allows, including where a defect is caused solely by that failure and we properly explained the update and consequences.

Updates we release within your purchased major version are included without a separate licence charge. Textual 7 is the version currently sold through this website, and you can continue using it after a newer major version is released. Any upgrade offer expressly made for your purchase remains binding; future upgrade arrangements will be explained when the relevant release is available. General roadmap statements do not promise a release date or particular features.

Use our contact form or email us for support or to report defects. Unless separately agreed, we do not promise a particular response time, dedicated support service, or compatibility with every future macOS release; this does not limit our statutory obligations.

6. Consumer right of withdrawal

Consumers in the EU, EEA, Switzerland, and UK generally have 14 days from conclusion of the online purchase contract to withdraw without giving a reason. Other mandatory local rights may also apply. Paddle, as seller, provides the applicable purchase and withdrawal information at checkout.

To exercise your purchase withdrawal right, use Paddle buyer support or the withdrawal facility provided with your Paddle order. You may also contact us or email hello@blendbyte.com for help forwarding your request. Include the purchase email and order reference if available, but no particular wording is required for a clear withdrawal statement.

Model withdrawal form

For example: “I withdraw from my purchase of Textual 7, ordered on [date], using [email address], order reference [reference]. My name is [name].” You can use this wording, but do not have to.

A statutory withdrawal is refunded without undue delay and within the applicable legal deadline, normally 14 days after notice, using the original payment method unless otherwise agreed and without a refund fee. You must stop using licences covered by the withdrawal.

For paid digital content, early expiry of a withdrawal right requires the legally required express consent to immediate supply, acknowledgment of the loss of that right, and contract confirmation. Accepting these software terms or downloading a free trial is not by itself a waiver. Issuing a licence key alone does not remove mandatory refund rights.

7. Refunds

All purchases are final. Textual is free to try for 30 days, so please make sure it works for you before buying. We do not offer refunds for a change of mind.

This does not affect your statutory rights. If the software is defective, section 8 applies, and consumers in the EU, EEA, Switzerland, and the UK can withdraw as described in section 6. Paddle, as the seller, may also grant a refund under the Paddle Refund Policy.

For any refund question, use Paddle buyer support or contact us, including the email address you bought with and your order reference if you have it. Refunded licence keys stop activating. If only some licences from a bulk order are refunded, the keys are deactivated starting with the last one listed in your licence email, and the others stay valid.

Existing Codeux and Mac App Store purchases keep the refund terms agreed when they were bought.

8. If the software is defective

Your statutory rights for missing, defective, or non-conforming digital content remain fully available. Depending on the legal conditions, you can require us to provide or fix the software free of charge, reduce the price, end the contract, or claim damages or reimbursement of wasted expenses.

Please describe the problem when contacting us so we can investigate it. These terms do not shorten statutory limitation periods or shift the legal burden of proof to you.

9. Liability

We are liable without limitation for intent, gross negligence, injury to life, body, or health, fraudulent concealment of defects, guarantees we expressly assume, and liability under the German Product Liability Act or other mandatory law.

For ordinary negligence, we are liable for breach of an essential contractual obligation, meaning an obligation necessary to perform the contract and on which you can normally rely. In that case, liability is limited to the foreseeable damage typical of the contract; liability for ordinary negligence is otherwise excluded. This limitation does not affect the exceptions above or your statutory rights to delivery, correction, price reduction, or termination.

The same rules apply to our representatives and people performing obligations on our behalf.

10. Ending a license

We may terminate a license for a serious breach, such as deliberate license abuse or a substantial unpaid amount, where the legal requirements are met. We normally notify you and allow a reasonable opportunity to resolve the breach first, unless the law permits immediate termination.

When termination lawfully takes effect, you must stop using the affected license and remove copies used under it. Refunds and other consequences follow applicable law; raising a legitimate complaint or exercising consumer rights is not a breach.

11. Networks, content, and privacy

IRC networks and third-party addons are independently operated, and their availability and rules may change. We do not control their content or guarantee their availability, but this does not exclude responsibility for functionality or integrations we have contractually promised.

Use Textual lawfully, respect other people’s rights, and comply with applicable export and sanctions rules. You retain your rights in your own content, and using Textual does not give us ownership of your messages.

Our privacy policy explains how personal information is processed. Agreement to these terms is not consent to optional analytics, marketing, or other processing that requires separate consent.

12. Changes, applicable law, and disputes

The version agreed when your contract was made applies to that contract. Publishing revised terms does not change existing contracts, and continued use alone is not agreement to new terms. Any change must have a valid contractual or legal basis.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a consumer, this choice does not deprive you of mandatory protections under the law that would apply in your country of habitual residence without this choice.

Consumers retain their statutory court venues. Berlin is the exclusive venue only where permitted by law for merchants, legal entities under public law, and special funds under public law. We are neither willing nor obliged to participate in proceedings before a consumer arbitration board.

If a provision is invalid, the statutory rules apply in its place and the remaining terms continue to apply to the extent allowed by law.
